Terms of Service

Effective Date: April 15, 2026

Welcome to Cartsense, an AI agent system that runs TikTok Shop operations — creator discovery, outreach, conversations, campaign execution, GMV tracking, and related workflows — provided by StoneFrontier LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of Cartsense and related websites, applications, APIs, and services (the "Services").

By creating an account, connecting a TikTok Shop, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for businesses operating on TikTok Shop; personal, non-commercial use is not supported.

2. Account Registration and Security

You agree to provide accurate, current information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at contact@cartsense.ai of any suspected unauthorized use.

3. Connecting Your TikTok Shop

The Services require you to connect a TikTok Shop via OAuth. By connecting:

  • You represent that you are authorized to connect the shop and grant access to its data.
  • You authorize us to access, store, and act on the data and scopes you approve — including reading orders, creators, messages, and GMV, and taking actions such as sending creator invitations, sending messages, adjusting commissions, and managing campaigns on your behalf.
  • Your use of TikTok data and our access are also subject to TikTok's developer and platform policies. You must not use the Services in a way that violates them.

You may disconnect your TikTok Shop at any time through the Services. Disconnecting will stop ongoing agent activity that depends on that connection.

4. Agent Actions and Human Oversight

Cartsense operates AI agents that take actions on your behalf — sending invitations, messaging creators, adjusting commissions within thresholds, launching and managing campaigns, and similar workflows. You acknowledge that:

  • Agents act within the authority and thresholds you configure. Expanding agent authority, approving recommendations, or accepting agent actions is your responsibility.
  • Agent actions taken on your behalf (including messages sent, invitations issued, commissions offered, and communications with creators) are attributed to you and binding on you to the same extent as if you had taken them yourself.
  • Agents can make mistakes. You are responsible for reviewing briefings, approving escalated decisions, and monitoring outcomes. We provide the Transparency Stack and override tools to help.
  • You will configure thresholds, rules, and approvals appropriate to your business and legal obligations (for example, disclosure requirements for sponsored content, applicable advertising laws, and platform policies).

5. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Services in violation of any law, regulation, or third-party right (including TikTok's terms and applicable advertising, consumer protection, and privacy laws).
  • Send unlawful, deceptive, harassing, or spam communications through the Services.
  • Attempt to access data, accounts, shops, or conversations you are not authorized to access.
  • Reverse engineer, decompile, or attempt to extract source code or model weights of the Services, except to the extent applicable law expressly permits.
  • Use the Services to build a competing product or benchmark against us without our written consent.
  • Interfere with or disrupt the integrity or performance of the Services, or probe, scan, or test their vulnerability without permission.
  • Bypass or circumvent rate limits, access controls, or usage restrictions.

6. Your Content and Data

You retain all rights in the data, materials, and content you provide or that the Services process on your behalf ("Customer Data"), including TikTok Shop data accessed via the scopes you grant, campaign briefs, and creator communications you author.

You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and create analyses and derivatives of Customer Data solely to: (a) provide and operate the Services for you; (b) generate the Transparency Stack and agent outputs; (c) improve the Services in accordance with our Privacy Policy, including through aggregated and de-identified analytics; and (d) comply with law.

You represent that you have the rights necessary to provide Customer Data to us and that our use of it as described will not violate any law or third-party right.

7. Fees, Billing, and Trials

Access to paid features requires a subscription. Unless stated otherwise:

  • Fees are quoted in U.S. dollars and billed in advance on a recurring basis (monthly or annually) to the payment method on file.
  • Fees are non-refundable except where required by law.
  • We may change pricing on renewal with at least 30 days' notice. Continued use after the change takes effect constitutes acceptance.
  • Free trials, if offered, automatically convert to a paid subscription at the end of the trial unless you cancel before then.
  • You are responsible for applicable taxes.

If you fail to pay, we may suspend or terminate the Services.

8. Intellectual Property

As between you and us, we (and our licensors) own all rights in the Services, including software, models, prompts, templates, designs, logos, and documentation. Except for the limited right to use the Services under these Terms, no rights are granted to you. Feedback you provide may be used by us without obligation.

9. Third-Party Services

The Services rely on and integrate with third parties, including TikTok and TikTok Shop, payment processors, cloud providers, and large language model providers. We are not responsible for third-party services, and your use of them is subject to their terms. We may modify or discontinue integrations, and third parties may change their APIs in ways that affect the Services.

10. Confidentiality

Each party agrees to protect the other's non-public information disclosed in connection with the Services using at least reasonable care and to use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

11. Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, if: (a) you materially breach these Terms; (b) your use poses a security or legal risk to us or others; (c) required by law or by TikTok's policies; or (d) your account is inactive or non-paying.

You may terminate at any time by canceling your subscription and deleting your account. On termination, your right to use the Services ends and we may delete Customer Data after a reasonable wind-down period. Sections that by their nature should survive (including Sections 6, 8, 12, 13, 14, 16, and 17) will survive termination.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the Services will be uninterrupted, error-free, or secure; that agent actions will be optimal; or that the Services will achieve any particular business result, GMV, ROI, creator performance, or campaign outcome. AI-generated outputs may contain errors; you are responsible for reviewing them.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GMV, LOST BUSINESS OPPORTUNITIES, OR LOST, CORRUPTED, OR INACCURATE DATA, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply to all claims, whether in contract, tort, or otherwise, and form an essential basis of the bargain between us.

14. Indemnification

You will defend, indemnify, and hold harmless StoneFrontier LLC and its officers, directors, employees, and agents from any third-party claims, damages, liabilities, and reasonable legal fees arising out of: (a) your Customer Data; (b) your use of the Services in violation of these Terms, TikTok's policies, or applicable law; (c) agent actions taken within the authority you configured; or (d) your violation of any third-party right.

15. Changes to the Services and Terms

We may add, change, or remove features of the Services at any time. We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or in-app notice) before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes not subject to arbitration, and waive any objection to venue in those courts.

17. Miscellaneous

These Terms are the entire agreement between you and us regarding the Services and supersede any prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
